EVENT PRODUCTION AGREEMENT
Thank you for selecting What a Life Productions (the “Producer”) as the producer and Sinofy Group (the "Managers") for your upcoming event. The following outlines the arrangements for your Event and will serve as a letter of agreement between Omnihorse. (“Booking Party” or “you”) and What a Life Productions and Sinofy Group.
Sinofy Group will manage aspects of the event leading up to the event and directly support in person at the event.
All arrangements as described in this agreement will be confirmed upon signing of this contract and payment of your initial deposit. We look forward to creating an amazing event together

Event Details:
The concept for this event is a celebration of Omnihorse!
Our Messaging and events will speak to a diverse community of existing NFT collectors as well as racing fans that are new to NFT and Web3. We will incorporate elements of OmniHorse into the event experience, effectively communicating brand identity in creative and exciting ways.
Many elements of the event will be focused around racing, horses, and gaming. We’ll use this as a jumping off point to interact with our guests. We’d like to learn more about Omnihorse so we can best communicate the message and incorporate elements into the event.

OTHER IMPORTANT EVENT DETAILS
Any emergencies should immediately be reported to the MOD and call 911. We have a first aid kit at our event facility but also recommend bringing your own. We have contact information for all local civic and emergency services posted.
PACKAGES & DELIVERIES
Any receiving of packages on behalf of the booking party needs to be agreed upon in writing.
MARKETING & PR DISTRIBUTION
What a Life Productions require you to provide any proposed advertisement to be used on social media or printed promotion materials featuring What a Life Productions's name, photos, trademarks, or logos to us in advance of use. Please submit all marketing and PR materials for approval, you must get prior written approval of such material. Once approved, clients may re-use the same materials without further review or approval for any events booked with a deposit on file. What a Life Productions may require changes to marketing materials for any reason, if requested by What a Life Productions, the Booking Party will remove and change any marketing within 24 (twenty four) hours.
REPRESENTATIONS AND WARRANTIES; COVENANTS
The Booking Party represents, warrants and covenants that:
No illegal activity of any kind shall be performed on the Producer or at any event. The Booking Party shall not advertise any illegal activity in connection with the Producer or any event.
INDEMNIFICATION; LIMITATION OF LIABILITY
What a Life Productions AND ANY ENTITY PROVIDING SERVICES TO What a Life Productions OR THE BOOKING PARTY ARE NOT LIABLE FOR OR RESPONSIBLE FOR, AND DO NOT ASSUME LIABILITY FOR:
(1) ANY PERSONAL Producer, EQUIPMENT OR OTHER POSSESSIONS BELONGING TO THE BOOKING PARTY OR ITS GUESTS OR INVITEES,
(2) ANY PERSONAL OR PHYSICAL INJURY TO THE BOOKING PARTY OR ITS GUESTS OR INVITEES, INCLUDING DEATH, EVEN IF CAUSED BY THE NEGLIGENCE OF THE LANDLORD, ANY OTHER OWNERS OF THE Producer, What a Life Productions, What a Life Productions OR THEIR AGENTS,
(3) ANY OTHER LIABILITY ARISING FROM AN EVENT OR OTHER ACTIVITY ON THE PRODUCER.
BY BOOKING AN EVENT, YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS What a Life Productions, WHAT A LIFE PRODUCTIONS AND THEIR RESPECTIVE EMPLOYEES, AGENTS, PARTNERS, OWNERS, HEIRS, SUCCESSORS AND/OR ASSIGNS (THE “INDEMNIFIED PARTIES”), FROM AND AGAINST ANY CLAIMS, ACTIONS, DAMAGES, SUITS, LIABILITIES, COSTS, AND EXPENSES, INCLUDING ATTORNEYS’S FEES AND COURT COSTS, ARISING OUT OF ANY EVENT, THE PRODUCER AND/OR EVENT CENTER AND ANY GUESTS OR INVITEES OF THE BOOKING PARTY. THE BOOKING PARTY ASSUMES ALL ANY AND ALL RISKS AND WAIVES ANY AND ALL CLAIMS THAT THE BOOKING PARTY OR ITS GUESTS OR INVITEES MAY HAVE AGAINST THE INDEMNIFIED PARTIES FOR ANY DAMAGE TO OR LOSS OF PRODUCER (INCLUDING THEFT) OR INJURY TO PERSONS (INCLUDING DEATH), WITHIN OR ABOUT THE Producer FROM ANY CAUSE WHATSOEVER, INCLUDING THE NEGLIGENCE OF THE INDEMNIFIED PARTIES. BOOKING PARTY HEREBY RELEASES THE INDEMNIFIED PARTIES OF ANY AND ALL LIABILITY ARISING OUT OF THE Producer OR ANY EVENT, AND SHALL OBTAIN WRITTEN RELEASES FROM ITS GUESTS AND INVITEES NO LESS PROTECTIVE OF THE INDEMNIFIED PARTIES AS THE TERMS HEREIN. THE COLLECTIVE MAXIMUM LIABILITY OF THE INDEMNIFIED PARTIES IN CONNECTION WITH THE PRODUCER OR ANY EVENT IS LIMITED TO THE TOTAL AMOUNT OF FUNDS RECEIVED BY WHAT A LIFE PRODUCTIONS FROM THE BOOKING PARTY FOR THE EVENT IN CONNECTION WITH WHICH THE LIABILITY AROSE. IN NO EVENT SHALL THE INDEMNIFIED PARTIES BE LIABLE
FORCE MAJEURE
What a Life Productions shall not be liable for a breach of this Agreement caused by natural disaster, extreme weather, utility outage, flood, act of war, labor dispute, failure of the internet, or other similar event provided the impacted Party promptly notify the other Party of the Force Majeure event and makes all reasonable efforts to recover and resume such Party’s performance under this Agreement.
FALSIFIED BOOKINGS
If your booking was made under false pretense, including, but not limited to, a falsified name, age or size of party, or intent, you will be subject to immediate eviction and forfeiture of all amounts paid.
RESERVATION & PAYMENT POLICY
To secure your event a 25% deposit is required at time of signing contract. Any cancellations after securing your dates with a deposit will incur a 15% (of total payment) non-refundable cancellation fee for administrative and booking cost.
We require the 2nd payment of the remaining 50% of the contracted amount to be paid 3 months (90 days) prior to the start of the event.
With the final payment of the contracted amount to be paid 1 month (30 days) prior to the start of the event. See more specific information on cancellations below.
CANCELLATIONS
If contract execution date is longer than 90 days from the event start date 25% (twenty five percent) of your total booking amount is due. 15% (fifteen percent) of the total booking amount is non-refundable.
If contract execution date is within 90 days from the event start date 50% (fifty percent) of your total booking amount is due. 15% (fifteen percent) of the total booking amount is non-refundable.
30 days from the start of your event your final contracted amount is due and is 100% (one hundred percent) non-refundable or transferable.
COVID Cancellation Policy - Any cancellations requests due to COVID, What a Life Productions will apply 100% (one hundred percent) of the paid amount to a future booking within 12 months (based on availability) if event dates take place during a National “Stay at Home Mandate”. Otherwise please see above cancellation policies. What a Life Productions will refund any funds collected within 14 days of cancellation. All event date change requests are at the sole discretion of What a Life Productions.
In the unlikely event What a Life Productions has to cancel your booking for any reason you will be notified as quickly as possible and refunded 100% of any amounts paid. We highly recommend that you purchase insurance to protect against certain types of cancellations, among other risks.
MISCELLANEOUS
1. Choice of Law This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado.
2. Venue Any action brought to enforce any provision of this Agreement shall be brought in the county or district courts of the City and County of Denver, Colorado.
3. Assignment Booking Party may not sell, assign, or otherwise transfer Client’s rights or obligations under this Agreement, in whole or in part, by operation of law or otherwise, without the written consent of What a Life Productions.
4. Notices Notices required by this Agreement shall be in writing and may be sent via email. The date of each notice shall be the date of delivery to the specified email account.

BLUE-PENCIL MODIFICATION AND SEVERABILITY
If a court or arbitrator of competent jurisdiction holds that any provision of this Agreement shall be enforceable only if modified, then such court or arbitrator shall modify such provision as necessary to render the provision enforceable. Any such modification shall become a part of this Agreement and treated as though originally set forth in this Agreement. If a court or arbitrator of competent jurisdiction determines that any portion of this Agreement is unenforceable, and cannot be modified in a way that would render it enforceable, then such court shall strike the unenforceable provision from this Agreement. Such a holding shall not affect the validity of the remainder of this Agreement, the balance of which shall continue to be binding upon the Parties.
ENTIRE AGREEMENT; MODIFICATION BY THE PARTIES
This Agreement, including any exhibits hereto, contains the entire understanding of the Parties relating to the subject matter contained herein and supersedes all prior discussions and writings between them. This Agreement may not be modified by language contained in any invoice or other business form, and may only be amended by a written executed instrument signed by the party to be charged.
DISPUTE RESOLUTION
Any dispute which arises under this Agreement which the parties cannot otherwise resolve shall be initially submitted to mediation in Denver, Colorado before a mediator mutually agreed upon by the parties. If the parties cannot agree upon a mediator, then they shall submit their dispute to the Judicial Arbiter Group, or, if that group no longer exists, to the American Arbitration Association, for mediation. If a dispute is not resolved within thirty days of the mediation session, then it shall be submitted for binding arbitration to the Judicial Arbiter Group, or, if that group no longer exists, to the American Arbitration Association in Denver, Colorado pursuant to its CommercialArbitration Rules, except that: (i) disputes concerning $15,000 or less shall be resolved in the small claims or county
courts of Denver County, Colorado; and (ii) disputes in which a party seeks injunctive relief shall be resolved in the district courts of Denver County, Colorado, in which case all claims shall be resolved in such lawsuit. The parties consent to personal jurisdiction and venue being proper in such courts. In an arbitration, the arbitrator’s award shall be final and binding and may be entered in any court having jurisdiction thereof. The failure of a Party to enforce his, her, or its rights under this Agreement does not constitute a permanent waiver of such rights, nor shall such waiver be construed to be waiver by a Party to enforce any of such Party’s other rights under this Agreement.
BINDING AGREEMENT
This Agreement is binding upon, and inures to the benefit of, the Parties, their successors, heirs, legatees, devisees, assigns, legal representatives, executors and administrators, except as otherwise provided herein.
CONCLUSION
Your signature on this Agreement establishes this event on a "Confirmed" status and constitutes a legally binding and enforceable contract that may result in certain forfeitures of funds and other monetary liability in the event of a default. The person signing this Agreement warrants and represents that they are authorized by the Booking Party to legally bind the organization to the terms and conditions of this Agreement.
